# Automated Borrowing Base Calculation

## Overview

A borrowing base is the amount of money a company can borrow from a lender.&#x20;

Specialty finance companies that rely on asset-based borrowing need to calculate and report on their borrowing base on a regular basis to maintain access to their debt line. Lenders calculate the borrowing base amount by adding up all the assets that a borrower can put up as collateral (cash, inventory, and accounts receivable, for instance) and then “margining”, or applying a discount factor, to arrive at a maximum loan amount.&#x20;

Finley automatically ingests data from loan tapes, validates or verifies that data, and then calculates borrowing base amounts that are used for the Funding Request workflow and for Finley's Insights feature.&#x20;

# Draw Requests

## Overview

The Funding Requests Tab streamlines the process of initiating and reviewing funding requests to your capital provider. Finley uses the data from your credit agreement and servicing tape to determine the minimum and maximum advance rates, confirm that all covenants and obligations are met, and contact your capital provider. This allows you to make draw requests with a few clicks of a button and confirms you are in line with all the loan’s requirements.

## How to Submit a Funding Request

To submit a funding request, you can navigate to the Funding Request Page. If you have no other funding requests currently being processed, you will see an option to initiate a new funding request. By Selecting this option, you will be presented with the recommended funding request package based on your assets and loan availability.

The paydown, recycling, draw request, and effective advance rate can be adjusted using the sliders on the page. Finley has calculated the maximum and minimum amount for each of the values on your request page according to your credit agreement and servicing tape, so you never have to worry about funding compliance.&#x20;

{% hint style="info" %}
**Hint:** In the table on the right, you can also see the impact to the loan outstanding and effective advance rate, as well as an overview of the components of your borrowing base.
{% endhint %}

After adjusting your request as necessary, you can continue to review the details of your request. From this page, you can confirm the amount, source, and destination of the draw request or source paydown. At the top of the page, you can also see the funding request ID, which we use to track your request’s status with the capital provider.

After submitting the funding request, you will receive an email notification with key deliverables that have been sent to your capital provider, including the notice of borrowing and the servicer report. Finley will coordinate with the capital provider and send a notification via email and Slack once the funding request is approved.

The video below shows the process of submitting a funding request from start to finish.

# Receivables Dashboard

Overview

Reviewing receivables is an important part of ensuring that capital markets operations run smoothly. However, reviewing receivables in Microsoft Excel can be cumbersome, especially with large loan tapes that contain many fields.

Finley's Receivables Dashboard allows users to show/hide receivables columns and set up filter views to quickly drill down on receivables that are complex or high-volume.&#x20;

## How to Use the Receivables Dashboard

The two main capabilities of the Receivables Dashboard are showing and hiding columns, and setting up filters to view receivables of interest.

<figure><img src="/files/JvHEFd8d5siz9XQNjmHd" alt=""><figcaption><p>Showing or hiding columns enables users to quickly view important receivable metadata</p></figcaption></figure>

# Borrowing Base Insights

## Overview

The Insights page provides a bird’s eye view of key components of your credit facility. It shows data on the borrowing base, eligibility, and concentration limits. These features can help you monitor your performance and maximize use of your credit facilities.

## Borrowing Base

### Summary

The borrowing base tab shows the performance of your assets against the terms outlined in your credit agreement. It can also help you monitor the quality of your collateral, maximize your effective advance rate, and optimize cost of capital. The boxes at the top summarize the KPIs of your borrowing base. Below are definitions of each of the KPIs provided on the page:

* **Total Exposure:** The sum of all the receivables provided in the servicing tape.
* **Total Eligible Exposure:** The receivables in the servicing tape that meet the requirements provided by your capital provider to serve as collateral. They do not include receivables with delinquencies or other items that the capital provider has flagged in the credit agreement.
* **Total Excess Concentration:** The portion of receivables that exceeds the thresholds or concentration limits outlined in the credit agreement (note: ineligible receivables are removed from the Borrowing Base, while only portions of receivables with excess concentration are removed from the Borrowing Base)
* **Borrowing Base:** The total amount of money that can be borrowed from the capital provider
* **Max Advance Amount:** The maximum amount that can be borrowed from the capital provider
* **Facility Utilization:** The portion of the loan that has already been drawn on
* **Total Cash Balance:** The amount of cash the borrower has on its balance sheet
* **Effective Advance Rate:** The max advance amount, expressed as a percentage of the total collateral

<figure><img src="/files/CD8ZrBSUfvElJoo5eya9" alt=""><figcaption></figcaption></figure>

### Borrowing Base and Advance Rate Graphs

The borrowing base graphic displays your total borrowing base and maximum advance rate over the past several weeks. The asset effective advance rate shows the advance rate over the same period.

![Borrowing Base Graphics](/files/GUYqXsKPHIbrFm3Oem0F)

## Eligibility

### Summary

Total exposure is the sum of all the receivables provided in your servicing tape. Eligible exposure is the amount of these receivables that can actually service as collateral, and ineligible exposure is the difference.

The pie chart on the left side of the page shows the portion of receivables that are eligible. The chart on the right lists the reasons certain proportions of receivables are ineligible.

## Concentration Limits

### Limits

Concentration limits are criteria outlined in the credit agreement that the portfolio of receivables must satisfy. The boxes at the top of the page show the total number of limits that must be satisfied, the amount that are broken, and the dollar value of receivables that cannot serve as collateral because they break one of the concentration limits.

### Excess Concentration

The excess concentration section lists the amount of receivables that are restricted as a result of each breached limit. The graph at the bottom of the page shows the historical performance of each concentration limit plotted against the threshold highlighted in red. Breached limits are highlighted in red in the x-axis at the top of the graph. This page can be used to easily identify where receivables are tied up and evaluate what can be done to avoid breaching the limits.

{% hint style="info" %}
**Hint:** you may need to scroll to the right to see the full list of concentration limits.
{% endhint %}

# Strats & Report Builder

## Overview

The Borrowing Base / Strats page provides detailed views of strats, or in-depth analyses of borrowing base composition and performance. These pages include breakdowns of collateral across a number of dimensions, including:

* Industry
* Cohort
* Delinquency
* Losses over time&#x20;

## Strats

### Summary

The Strats tabs display information about receivables by industry, cohort, and delinquency. For example, you can quickly view delinquent exposure or aggregate receivable count.&#x20;

<figure><img src="/files/HGjhTMjE5yKtpDL411wr" alt=""><figcaption></figcaption></figure>

Ensuring that your bank, asset, and credit agreement data are properly stored within Finley is a critical part of automating your funding requests, staying on top of compliance, and streamlining your capital markets operations.&#x20;

In the following pages, we walk through how to set up your bank data integrations within the Finley application, and how to set up AWS, SFTP, and/or other asset data integrations with Finley to ensure consistent data transfer.

# AWS S3 Setup Guide

## Overview

Finley uses AWS S3 data transfer to take in customer asset tapes on a regular cadence. This guide walks you through our preferred data transfer setup.

## Step-by-step instructions

The three steps to setting up an S3 transfer with Finley are:

1. **Give Finley your AWS account ID**. Finley will create an S3 bucket with cross-account permissions to your account, and let you know the name of the bucket (referenced onwards as \[cross-account-bucket-name]).&#x20;
2. **Confirm that your AWS account has access.** Once the bucket has been created, an admin user will be able to access the bucket via CLI (`aws s3 ls s3://[cross-account-bucket-name] --profile [admin-aws-profile]`).&#x20;
3. **You are now able to give your AWS service access to this S3 bucket through an IAM role with appropriate bucket permissions.** Example policy below:

```
{
    "Version": "2012-10-17",
    "Statement": [
        {
            "Action": [
                "s3:PutObject"
            ],
            "Resource": [
                "arn:aws:s3:::[cross-account-bucket-name]",
                "arn:aws:s3:::[cross-account-bucket-name]/*"
            ],
            "Effect": "Allow"
        }
    ]
}
```

And that's it! Once configured, the Finley team will provide additional guidance on preferred CSV data formats, and you’ll be able to programmatically drop CSV files into the bucket that we would incorporate into the required reports for capital provider submission.

## Uploading files after setup

Once the bucket is live, you will be able to upload files to it that Finley will now have access to. AWS has a suite of API and CLI tools to get this job done outlined [here](https://docs.aws.amazon.com/AmazonS3/latest/API/Type_API_Reference.html).

# SFTP Setup Guide (Client-Hosted)

## Overview

Finley uses SFTP data transfer to take in customer asset tapes on a regular cadence. This guide walks you through our preferred data transfer setup.

### Authentication

#### Option A - SSH Key-based authentication

The SSH key-based authentication method is **more secure**. In order to set this up, the client-hosted SFTP server must support key-based authentication.&#x20;

1. Provide a username and supported key type to the Finley support team via email. Please provide the following information to <support@finleycms.com>:&#x20;
   1. Your SFTP username&#x20;
   2. The SSH key type and bit strength - Finley is able to support the following key types and bit-strength:&#x20;
      1. RSA 4096-bit **(Recommended)**&#x20;
      2. ECDSA 256-bit&#x20;
      3. ECDSA 384-bit&#x20;
2. **Finley sends you a public key via email.** Finley will generate SSH key pairs and will provide the **Public Key** for SSH key-based authentication.&#x20;
3. **You will configure an authentication authorized\_key.** This step may vary depending on how your SFTP server is configured.&#x20;
4. **Finley conducts the connection test.** The Finley support team will confirm the SFTP connection has been established and try to fetch test file(s) from your SFTP server(s). Please upload a “test.txt” file to your SFTP server so the Finley support team can verify the SFTP connection.

#### Option B - Password-based authentication

Finley is also able to use password-based authentication if SSH key-based authentication is not configured on your SFTP server.

1. **Email a username and password to the Finley support team.** Please generate an SFTP username and password for the Finley data-poller, and send them to <support@finleycms.com> via an encrypted email.
   1. Note: If you are not able to send an encrypted email, please let us know the password length and constraints (supported characters, required characters, etc). Finley will generate our own password with the provided constraints and send it via an encrypted email.
2. **The client configures password authentication.** This step may vary depending on how your SFTP server is configured.
3. **Finley conducts the connection test.** The Finley support team will try to establish an SFTP connection and try to fetch test file(s) from your SFTP server(s). Please upload a “test.txt” file to your SFTP server, so the Finley support team can verify the SFTP connection.

### Data Poller Details

The Finley SFTP data-poller uses the short-polling method to determine if any files need to be fetched from your SFTP server.

**High-water mark.** The data-poller utilizes a high-water mark to reduce the number of files to fetch.  In short, we keep track of the timestamp (high-water mark) from our last successful fetch attempt and only try to fetch any files that are newer than that timestamp.  In order to enable this optimization, please make sure the directories and files on your SFTP server have accurate timestamps for the “last modified” time. &#x20;

We are also able to disable this feature; however, this will increase the load on your SFTP server. **If the modified timestamp cannot be accurately set, please let the Finley Support team know.**

**Polling Interval.** The data-poller is configured to poll for new files in 1-hour intervals by default. The polling interval can be modified per the client's request. The shortest polling interval is 1 min.

# SFTP Setup Guide (Finley-Hosted)

## How to integrate and upload data to the Finley-hosted SFTP server

Once you’ve decided on Finley-hosted SFTP as your preferred method to upload data, you’ll need to: 1) authenticate your computer, and 2) connect to the Finley-hosted SFTP server. This guide walks you through two options for Step 1 (Authentication), either of which will enable you to move on to Step 2 (Connection).&#x20;

### Step 1: Authentication

#### Option A - SSH key-based authentication

The SSH key-based authentication method is **more secure.** In order to set it up, you will need to generate an SSH key pair and follow the steps below.&#x20;

1. **Create SSH Keys.** The first step to configure SSH key-based authentication is to generate an SSH key pair on your local computer. The ssh-keygen utility tool can be used to generate this key on Mac OS X- or Linux-based systems. We recommend using a 4096-bit RSA keypair. The code for generating this key pair is below:

`>$ ssh-keygen -t rsa -b 4096 -f </path/to/key-generated> -C <your_company@email.com>`

2. **Send your public key to Finley via email.** You can find your newly generated key pair using the -f option specified during key generation in Step 1. You will need to send us your public key by email to <support@finleycms.com>.&#x20;

`>$ ls /path/to/`&#x20;

`key-generated <--- Private key, Please keep it secure and do not lose it`&#x20;

`key-generated.pub <--- Public key, OK to share with anyone`<br>

3. **Obtain a username and verify that you are able to connect.** Upon receiving your public key, the Finley support team will configure your SFTP account. Afterwards, you will receive a follow-up email with your SFTP username. Once your username is obtained, you can verify your SFTP connection. To do so, please refer to the Connect to the Finley-hosted SFTP server section of this document below.&#x20;
   1. Note: If you’re still unable to connect to SFTP, please contact <support@finleycms.com> and we will be happy to help you. If your private key is lost or compromised, please contact <support@finleycms.com> immediately. We will revoke the access to the existing SSH keys associated with your account, and ask you to regenerate an SSH keypair.

#### Option B - Password-based authentication

If you’re not comfortable accessing Finley’s SFTP server via SSH key-based authentication, our team can help you configure password-based authentication.&#x20;

1. Email the Finley team for a username and password. In order to obtain your password, please email <support@finleycms.com> and your username and password will be provided to you via an encrypted email.
2. (If necessary) Reset your password. If you lose your password, please contact <support@finleycms.com> and we will provide a new password for your existing username via an encrypted email.

### Step 2: Connect to the Finley-hosted SFTP server

You can connect to the Finley-hosted SFTP server with any tool of your choosing. Below, we provide examples of how you can connect via a CLI tool or the Cyberduck client.

**Connecting via an SFTP CLI tool with SSH key-based authentication**

`>$ sftp -i </path/to/privateKey> <username>@sftp.finleycms.com`

**Connecting via an SFTP CLI tool with password-based authentication**

`>$ sftp <username>@sftp.finleycms.com`&#x20;

`password:  <--- enter your password`

**Connecting with the Cyberduck client**

### Step-by-step instructions

1. **Log in to your financial institution account in Finley’s Settings page.** Navigate to the Settings page within Finley and select the Integrations tab. Then, click the “Connect new account” button. You’ll see a prompt that allows you to choose your financial institution and enter your login information. (Note: It may take a few minutes to integrate your bank account after logging in. You will see a message appear from the top of the screen indicating that the integration is in progress.)
2. **Once you’ve connected your financial institution, you’ll need to select which accounts should have an active connection Finley and how each account should be classified.** Any account that needs to be monitored or reported on as part of your debt raise should be “Active.” The three account classification options are Parent Operating Account, Collections Account, and Other Reserve Account. Finley will automatically save your configuration changes as you make them.
3. **Repeat Steps 1 and 2 for all relevant financial institutions.** If all of your debt capital-related accounts are provided by the same bank, you only need to complete Steps 1 and 2 to complete your bank data integration setup. If you have accounts across multiple banks however (a Parent Operating Account with Chase and a Collections Account with Wells Fargo, for example), you’ll need to repeat Steps 1 and 2 for all required financial institutions.

# Receivable Assignment

## Overview

For borrowers with limited origination history and a single credit facility, receivable assignment is a relatively straightforward part of the funding request or borrowing base generation process.&#x20;

However, receivable assignment becomes significantly more operationally and financially complex as fintech startups and other lenders bring on new credit facilities or decide to keep some of their originations on their own balance sheet.

Finley's application supports receivable assignment across multiple facilities, which enables borrowers to optimize their assignment pledging across different lenders.&#x20;

## Receivable assignment&#x20;

### Summary

To use the receivable assignment feature, navigate to the Assignments module and click Edit Assignment.

<figure><img src="/files/qApf5wCM8uWfSrPnNdHT" alt=""><figcaption></figcaption></figure>

From there, you will be given a choice to assign receivables in the application, or by CSV.&#x20;

<figure><img src="/files/QDpkygz8eOSRCIksPvUN" alt=""><figcaption></figcaption></figure>

Finally, you can confirm your assignments in the application.&#x20;

# Custom Strats

## Overview

The Borrowing Base / Strats page provides detailed views of strats, or in-depth analyses of borrowing base composition and performance. These pages include breakdowns of collateral across a number of dimensions, including:

* Industry
* Cohort
* Delinquency
* Losses over time&#x20;

As an add-on capability, the Finley team can set up Custom Strats beyond those available in the Strats capability and the Report Builder.&#x20;

# SSO

## Overview

If this module is purchased, the Finley team will set up SSO functionality and account permissioning within the Customer's user organization. This allows for easier and more secure Finley platform access and segments viewing permissions based on user and role.

# Collateral Data Quality, Roll-Forward Analysis

## Overview

The Receivable Dashboard empowers the Customer with deep insights to analyze and monitor the evolution of their receivables over time and their impact on borrowing capacity.&#x20;

By storing receivable balance and repayment data, Finley can calculate discrepancies related to roll-forward on any given receivable in real-time. Finley will provide advance alerting for any roll-forward discrepancies, while also visualizing the evolution of receivables over the term of your facilities.

# Asset Verification

## Overview

Finley will verify that the calculated Receivable Balance matches balances reported in the most recent data tape or portfolio documents.&#x20;

The frequency will be in conjunction with all Term Advances, Monthly Servicing Report submissions, and other distributions (e.g., recycling) as permitted by the Lender. The greater of a defined percentage or quantity of portfolio documents will be verified on a monthly basis.

# Forward Flow

## Overview

The Customer will utilize the Finley platform to generate ongoing servicer reporting and corresponding receivable sale agreements. Additional Forward Flow artifacts and templates can be set up with the Finley team to support the transaction. Dynamic purchase prices based on covenants are supported.
